About Randy S. Kramer

Our founding lawyer, Randy S. Kramer, is an international business attorney with over twenty years of legal experience. Randy has an entrepreneurial spirit and enjoys managing an international business law firm.

Randy’s international profile includes being a member of the following Bars:

Randy graduated from the McGill University Faculty of Law with Great Distinction, receiving both a common law degree (J.D.) and a civil law degree (B.C.L).

Today, the number of generalist lawyers is dwindling, and for valid reasons. Legal matters have grown more complex, making it unrealistic for a single lawyer to manage multiple areas of law effectively.

While Randy is not a generalist lawyer, he possesses a strong working knowledge of certain legal areas that he does not officially practice, but which are often relevant to his work as an international corporate and commercial lawyer. These include, for example, tax law, intellectual property law, employment law, insurance law, securities law, and secured transactions.

Importantly, Randy spent years litigating in court after becoming a lawyer. Now, however, he focuses on transactional work and no longer spends his days in court. And he does not miss it one bit!

Randy enjoys helping businesses reduce the likelihood of problems by effectively negotiating and drafting legal agreements, ensuring strong corporate governance, and offering timely advice on various other services he provides as a corporate and commercial lawyer.

This is in stark contrast to his previous position as a litigator, where his job was to battle both in and out of court with his client’s opponent’s lawyer, which sometimes became quite heated! In these disputes, the parties disagreed about aspects of their relations, which disputes could likely have been avoided with clearer contractual wording from the outset.

Randy’s extensive experience as a litigator provides him with a valuable advantage in anticipating potential problems that may arise if a written contract is not well-prepared, clearly drafted, and properly executed.

In fact, one reason Randy is so fond of corporate and commercial law, especially the law related to startups, is that he can use his knowledge of various legal areas outside to help clients achieve their business objectives.

Randy is an innovative problem solver, a tireless negotiator, and a dynamic dealmaker. Throughout his years in court, he was a fearless litigator, fighting with opposing counsel to secure every reasonable advantage possible for his clients.

Randy grew up in the New York City area and moved to Montreal, Quebec, Canada to attend McGill University there. He quickly became fascinated by Montreal and set a goal for himself to learn and master French, the official language of the Province of Quebec. He is now completely bilingual.

The McGill University Faculty of Law is a bilingual environment which issues two degrees to graduates of its unique program centered around two legal systems: a common law degree (J.D.) and a civil law degree (B.C.L.). Law students are taught to compare and appreciate these two very different legal systems.

Many people are unaware that, although common law is practiced in the US, the UK, and in all areas of Canada except for the province of Quebec, most countries follow civil law systems. Civil law systems differ significantly from common law systems.

Randy possesses extensive knowledge and experience in both civil and common law, which in his view is essential for successfully practicing international business law.

After initially working at several larger law firms, Randy chose to pursue his dream of offering more personalized and effective representation through his own boutique law firm.
